(hereinafter: <strong>\u201cService Provider\u201d<\/strong>) via the website https:\/\/www.semmelweisshop.hu\/ (hereinafter: <strong>\u201cWebsite\u201d<\/strong>) and set forth the rights and obligations of the contracting parties (hereinafter: <strong><em>\u201cParties\u201d<\/em><\/strong>).<\/p>\n<p><strong>The operator of the online store<\/strong><\/p>\n<p>The operator of the online store available at https:\/\/semmelweisshop.hu\/ is:<\/p>\n<p><strong>Semmelweis Premium Healthcare Services and Consulting Limited Liability Company<\/strong><\/p>\n<p>Abbreviated name: Semmelweis Premium Kft.<br \/>\nCompany registration number: 01-09-879749 \u2013 Budapest Metropolitan Court of Registration<br \/>\nGroup identification number: 17784234-5-44<br \/>\nUnique Tax ID Number: 13916974-4-42<br \/>\nRegistered office: 1085 Budapest, \u00dcll\u0151i \u00fat 26<br \/>\nEmail address: info@semmelweisshop.hu<\/p>\n<p><strong>Scope and Parties to the General Terms and Conditions<\/strong><\/p>\n<p>These Terms and Conditions apply to the services available on the Website and to the sale and purchase of products that can be ordered through the online store operating on the Website.<\/p>\n<p>Parties to the contract: The Service Provider, Semmelweis Premium Healthcare Service Provider and Consulting Limited Liability Company, is the operator of the Website and the provider of the products (hereinafter: Service Provider).<\/p>\n<p>Customer is the person ordering products from the online store, as well as any person visiting the Website (hereinafter: <strong>Customer<\/strong>). Customer may be any natural or legal person with legal capacity, or an economic entity without legal personality, including foreign legal entities, if they accept the contractual terms set forth herein and acknowledge them as binding upon themselves. Acceptance of the GTC in this manner also means that Customer undertakes to monitor any changes to these GTC. If the Customer does not accept these GTC, they are not entitled to use the Website or to purchase products sold on the Website. A contract to be concluded under these terms and conditions may be entered into by a person lacking legal capacity or a person with limited legal capacity in accordance with the provisions of the Civil Code.<\/p>\n<p>Natural people under the age of 16 may not make purchases on the Website. By clicking the \u201cPayment\u201d button and checking the box indicating acceptance of the GTC, Customer accepts the terms of the contract for the Service, as well as the provisions of these GTC. Upon the conclusion of consentact, Customer declares that they have read and accepted the terms and conditions set forth in these GTC as binding upon themselves, and further consents to the processing of their data necessary for the use of the Service within the scope defined in the GTC and the Privacy Policy.<\/p>\n<p>The terms and conditions shall take effect upon their publication on the Website and shall remain in force for an indefinite period.<\/p>\n<p>Service Provider is entitled to unilaterally amend these Terms and Conditions at any time.<\/p>\n<p>Hungarian law shall govern matters not regulated in this document, as well as the interpretation of this document, with regard to the relevant provisions of Act V of 2013 on the Civil Code (hereinafter: Civil Code) and Act CVIII of 2001 on Certain Issues Related to Information Society Services. The mandatory provisions of the relevant laws shall be applied to the parties even without a specific agreement to that effect.<\/p>\n<p><strong>General Information Regarding Contracts Concluded Electronically Between Parties at a Distance<\/strong><\/p>\n<p>The Website may be used without registration; however, placing an order is only possible after registration. By clicking the \u201cREGISTRATION\u201d button on the site and providing a valid email address, Customer is entitled to use all services of the Website. During registration, Customer must provide billing (name\/company name, tax ID, address) and shipping information.<\/p>\n<p>Customer may review the essential characteristics of the products available for order in the online store on the product description pages prior to placing an order.<\/p>\n<p>Orders placed on the Website constitute a legal declaration made in the form of implied conduct. Service Provider is obligated to confirm receipt of the order electronically without delay. If the confirmation does not reach the Customer within 48 hours, Customer is released from the obligation to accept the offer.<\/p>\n<p>Service Provider has not adopted a code of conduct, so one is not available from them.<\/p>\n<p>Before submitting the order, Customer is informed during the ordering process about current shipping rates and any shipping restrictions, as well as available payment methods.<\/p>\n<p><strong>Conclusion of Contract<\/strong><\/p>\n<p>The display of products in the online store, the online catalogue, does not in itself constitute a legally binding offer on the part of Service Provider.<\/p>\n<p>Customer may review the essential characteristics of the products on the pages of the online store containing product information.<\/p>\n<p>Customer may order products by using the shopping cart on the Website; specifically, by clicking the \u201cADD TO CART\u201d button on the product\u2019s detail page, Customer may place the product in the virtual shopping cart.<\/p>\n<p>An offer binding on Service Provider is created by ordering the product in this manner and adding it to the shopping cart.<\/p>\n<p>If you have any questions regarding the product before placing your order, Service Provider\u2019s customer service is happy to assist you.<\/p>\n<p>Custom products available for pre-order are manufactured based on the information provided by Customer in accordance with the following guidelines:<\/p>\n<ul>\n<li>You can choose the logo (Hungarian, English, or German),<\/li>\n<li>embroidery colour can be selected from currently available colours,<\/li>\n<li>custom text of up to 30 characters, including spaces, can be provided.<\/li>\n<li>The custom text provided by Customer may not contain:<\/li>\n<li>violent, dangerous, or antisocial text,<\/li>\n<li>obscene, offensive, vulgar, harassing, sexist, or racist references,<\/li>\n<li>it must not offend the ethnic, religious, or political beliefs of others,<\/li>\n<li>infringe upon the intellectual property rights or personality rights of other individuals or companies.<\/li>\n<\/ul>\n<p>If the text provided for the product contains any of the above, Customer will be given the opportunity to modify the text and reorder; however, if Customer does not wish to exercise this option, the order will be cancelled.<\/p>\n<p>How to order a product, description:<\/p>\n<p>You can add the selected product to your cart by clicking the \u201cAdd to Cart\u201d button. By clicking the shopping cart icon in the upper right corner, you can view the products in your cart, adjust their quantities, and remove them. The offer binding on Service Provider applies in all cases only to the product(s) placed in the cart.<\/p>\n<p>When you are ready to complete your purchase, click on \u201cCheckout\u201d button; you can place your order after registering and logging in. Registered Customers can access their accounts by logging in.<\/p>\n<p>After logging in, select the shipping and payment methods. Before finalizing your order, you can use \u201cOrder Status\u201d page to check for any errors in your order and correct them if necessary.<\/p>\n<p>Finally, click on \u201cSubmit Order\u201d button to place your order for the items in your cart.<\/p>\n<p>Upon receipt of the order, Customer will immediately receive a confirmation of order acceptance.<\/p>\n<p>The order is considered accepted when Service Provider sends confirmation via email, or, in the absence of such confirmation, ships the ordered product within two days.<\/p>\n<p>In the case of pre-ordered, custom products, the product will be manufactured within 15 business days of the order confirmation. Service Provider will notify Customer of the product\u2019s availability via email.<\/p>\n<p><strong>Information on the Right of Withdrawal<\/strong><\/p>\n<p>Right of Withdrawal<\/p>\n<p>Customer using the service is entitled to cancel the order within 14 days without giving any reason, in which case they may only be required to pay the costs specified by law (this provision extends the 14-day cancellation period set forth in Section 20(2) of Government Decree 45\/2014 (II.26.) on the detailed rules of contracts between Customer and the business). The deadline shall be deemed to have been met if Customer sends their statement of intent to withdraw to Service Provider before the deadline expires.\u00a0 Exceptions to this rule are products available for pre-order and products with custom specifications, in which case the right of withdrawal cannot be exercised. The right of withdrawal does not apply to Customer in the case of non-prefabricated products manufactured according to Customer\u2019s instructions or at their express request, or in the case of products clearly tailored to Customer.<\/p>\n<p>The withdrawal period begins upon receipt of the product. The right of withdrawal may be exercised by sending a clear written or electronic statement expressing the intention to withdraw to one of the following contact addresses (mostly by mail or via email):<\/p>\n<p>Semmelweis Premium Kft.,<br \/>\naddress: 1085 Budapest, \u00dcll\u0151i \u00fat 26.,<br \/>\nemail: info@semmelweisshop.hu<\/p>\n<p>Online withdrawal function<\/p>\n<p>Customer may exercise their right of withdrawal not only by mail or email, but also through the online withdrawal function available on the Website.<\/p>\n<p>Service Provider ensures that the option to submit a withdrawal notice electronically is easily accessible on the Website. Service Provider shall confirm receipt of the withdrawal notice submitted via the online interface without delay, on a durable medium\u2014mostly via email\u2014indicating the date of receipt of the notice.<\/p>\n<p>A notice of withdrawal submitted online is deemed to have been communicated to Service Provider at the time it is received by Service Provider.<\/p>\n<p>Legal Effects of Withdrawal<\/p>\n<p>Within 14 days of receiving the notice of withdrawal, Service Provider shall refund all payments received, including shipping costs (except for any additional costs incurred because Customer chose a method of delivery different from the one offered by Service Provider.)<\/p>\n<p>The refund shall be made using the same payment method used in the original transaction, except in cases where an express request is made to use a different payment method when exercising the right of withdrawal; the use of a different refund method shall not result in any additional costs.<\/p>\n<p>Service Provider is entitled to withhold the refund until the ordered and received product has been returned to Service Provider\u2019s address or, at the latest, until the return has been confirmed.<\/p>\n<p>In the event of withdrawal, Customer is obligated to return the ordered product subject to withdrawal without undue delay, but no later than 14 days from the date of notification of the withdrawal notice, or to hand it over to Service Provider.<\/p>\n<p>The costs of returning the product subject to withdrawal shall be borne by Customer.<br \/>\nCustomer is liable for compensation for any depreciation in the value of the products resulting from changes in their nature, characteristics, or functioning.<\/p>\n<p><strong>Exclusion\/Expiration of the Right of Withdrawal:<\/strong><\/p>\n<p>The right of withdrawal under this contract cannot be exercised in the case of non-prefabricated products manufactured according to Customer\u2019s instructions or at Customer\u2019s express request, or in the case of products that were clearly customized for Customer.<\/p>\n<p><strong>Delivery<\/strong><\/p>\n<p>Service Provider undertakes to deliver the ordered products exclusively within the territory of Hungary. Delivery is typically carried out by MPL (Magyar Posta Logisztika). Service Provider offers the products featured in the online catalogue exclusively in retail quantities and exclusively to end-customers. Customer is entitled to these rights for a period of two years from the date of receipt of the product, including repair or replacement, a price reduction, or a refund of the purchase price, in accordance with the conditions set forth in applicable laws. The deadlines set forth in this notice do not affect Customer\u2019s other rights arising from the law.<\/p>\n<p>In the event of a visible material or manufacturing defect detected upon receipt of the ordered product, including damage incurred during shipping, Customer must report the defect immediately upon discovery of the defect or damage, but no later than within a week of receipt, by email to info@semmelweisshop.hu or by letter sent to Service Provider\u2019s address.<\/p>\n<p>The warranty cannot be enforced more than one year after receipt of the product.<br \/>\nUnder their warranty rights, Customer may, at their discretion, request repair or replacement, unless the fulfilment of the chosen warranty remedy is impossible or would result in disproportionate additional costs for Service Provider compared to fulfilling another warranty claim. If Customer\u2019s interest in repair or replacement has ceased, or if Service Provider refuses to undertake repair or replacement, Customer may request a proportional reduction in the consideration, or may repair the defect at Service Provider\u2019s expense, or have it repaired by a third party, or\u2014as a last resort\u2014may withdraw from the contract. Withdrawal is not permitted in the case of a minor defect.<\/p>\n<p>Customer may switch from one warranty remedy to another. Customer is obligated to reimburse Service Provider for any costs incurred by the switch, unless Service Provider caused the switch or the switch was otherwise justified.<\/p>\n<p>Within six months of receiving the product, there are no conditions for asserting a warranty claim other than reporting the defect. After six months have elapsed, Customer is required to prove that the defect or damage existed at the time of receipt.<\/p>\n<p>In the event of a product defect, Customer may assert a warranty claim against Service Provider as the product distributor.<\/p>\n<p>Under the product warranty, Customer may demand Service Provider to repair the defect in the product or\u2014if repair is not possible within a reasonable time without prejudice to Customer\u2019s interests\u2014replace the product. A product is defective if it does not meet the quality requirements in effect at the time Service Provider placed it onto the market, or if it does not possess the characteristics specified in the description provided by Service Provider.<\/p>\n<p>The defect must be reported to Service Provider without delay upon its discovery. Customer is liable for any damage resulting from a delay in reporting. The product warranty is valid for one year following receipt of the product. Expiration of this period results in forfeiture of rights.<\/p>\n<p>Service Provider is only exempt from its product warranty obligations if it can prove that:<\/p>\n<ul>\n<li>the product was not manufactured or placed onto the market during its business activities; or<\/li>\n<li>the defect was not recognizable at the time of placing the product onto the market, given the state of science and technology; or<\/li>\n<li>the defect in the product results from the application of a law or mandatory official regulation<\/li>\n<\/ul>\n<p>Claims under the warranty of fitness for a particular purpose and the product warranty cannot be asserted simultaneously or in parallel for the same defect.<\/p>\n<p><strong>Complaint Handling<\/strong><\/p>\n<p>Service Provider handles any complaints that may arise through its customer service department in accordance with applicable laws.<\/p>\n<p>Customer service contact: info@semmelweisshop.hu<\/p>\n<p>Customer is advised to include the following in the complaint: information and circumstances related to the subject of the complaint, particularly the nature and timing of the irregularities; Customer\u2019s request and the complainant\u2019s contact information\u2014this facilitates and expedites the handling of the complaint by Service Provider. The requirements specified in the preceding sentence are merely recommendations, and the absence of the recommended content in the complaint does not affect the effectiveness of the complaint.<\/p>\n<p>Service Provider is obligated to respond to the complaint without delay, but no later than 30 days from the date of submission, unless otherwise provided by law or separate regulations. In the case of a complaint submitted by Customer, the 30-day deadline specified by law cannot be deviated from. Service Provider is required to provide a justification for rejecting the complaint.<\/p>\n<p>If the complaint is rejected, Service Provider is required to inform Customer in writing of which authority or conciliation body may be contacted regarding the complaint, depending on its nature. The notification must also include the address, telephone number, and website of the competent authority or the conciliation body corresponding to Customer\u2019s place of residence or stay, as well as its mailing address. The information must also specify whether Service Provider utilizes the conciliation body procedure to resolve consumer disputes. Service Provider hereby declares under these terms and conditions that, in the case of a consumer contract, it will always co-operate with conciliation bodies.<\/p>\n<p><strong>Shipping Costs<\/strong><\/p>\n<p>Service Provider delivers Customer\u2019s order to their doorstep at a flat delivery rate of 2,190 HUF. Service Provider reserves the right to unilaterally modify the delivery fee.<\/p>\n<p><strong>Payment method<\/strong><\/p>\n<p>Payment is made by credit card (MasterCard and Visa).<\/p>\n<p>When paying by credit card, immediate payment is available upon providing the credit card details.<\/p>\n<p>Customer pays for the services provided by Service Provider via credit card. In the case of a one-time payment, Service Provider charges the service fee to the credit card provided by Customer using the SimplePay service operated by OTP Bank Nyrt. By making a purchase, Customer agrees to add their credit card to their profile. Service Provider does not store the card details. The card details are stored exclusively by the secure system of its financial partner, OTP SimplePay.<\/p>\n<p>Further terms and conditions regarding online payment are set forth in the payment Service Provider\u2019s terms of service, which Customer may review prior to payment on the payment Service Provider\u2019s interface, to which Customer will be redirected during the ordering process.<\/p>\n<p><strong>Prices, Consideration<\/strong><\/p>\n<p>Prices are quoted in Hungarian forints and include the VAT required by law (gross prices).<\/p>\n<p>Service Provider strives to ensure that the prices listed in the online store correspond to the actual consideration. However, in the event of incorrect prices being displayed, Service Provider assumes no obligation to fulfil the order; in such cases, the offer is not binding. In such cases, Service Provider will offer the product at the correct price upon order, and Customer placing the order is entitled to decide whether to purchase the ordered product at the offered, correct price or to cancel the order as set forth in these GTC. A price is incorrect if it does not correspond to the actual value of the product and Service Provider designates it as incorrect for this reason.<\/p>\n<p><strong>The following, in particular but not exclusively, are considered obviously incorrect prices:<\/strong><\/p>\n<ul>\n<li>a price of 0 HUF,<\/li>\n<li>a price reduced by a discount but incorrectly indicating the discount (e.g., a product priced at 1,000 HUF offered for 500 HUF while indicating a 20% discount).<\/li>\n<\/ul>\n<p>In the event of an incorrect price being displayed, Service Provider offers the option to purchase the product at the actual price; with this information, Customer may decide to order the product at the actual price or cancel the order without any adverse legal consequences.<\/p>\n<p><strong>Invoicing<\/strong><\/p>\n<p>Customer will receive a paper-based invoice for the purchase via email. The email solely replaces postal delivery as the method of shipment; the invoice is valid in paper form, which Customer may subsequently print out for their own use. The invoice is authentic even without a signature or stamp pursuant to Section 177 of the VAT Act!<\/p>\n<p>Because the invoice is retained and printed on paper, the regulations for e-invoices do not apply to it, nor do electronic signatures or timestamps.<\/p>\n<p><strong>Retention of Title<\/strong><\/p>\n<p>The product remains the property of Service Provider until the purchase price has been paid.<\/p>\n<p><strong>Penalty<\/strong><\/p>\n<p>If Customer fails to pick up the ordered, ready-for-pickup product within 15 days, Service Provider is entitled to a late payment penalty. The amount of the late payment penalty is 1% of the value of the ordered product per day of delay. If the value of the late payment penalty reaches the value of the ordered product, Service Provider is entitled to offset the late payment penalty against the purchase price paid by Customer, in which case the contract between Parties shall terminate, and Customer shall have no claims against Service Provider in this regard.<\/p>\n<p><strong>Electronic Communication<\/strong><\/p>\n<p>Communication regarding the order shall take place in electronic form.<\/p>\n<p><strong>Exclusion of Liability for Third-Party Links<\/strong><\/p>\n<p>Service Provider reserves the right to include links to other websites. Service Provider has no control over these links, expressly distances itself from their content, and does not endorse them. This disclaimer applies to all links displayed and to all content on the pages accessible via these links.<\/p>\n<p><strong>Language of the contract, form of the contract, storage of the order text\/governing law<\/strong><\/p>\n<p>The language of General Terms and Conditions is Hungarian. The contract does not constitute a written contract between Parties. We do not store the text of the order, so it is no longer available after the order has been fulfilled. However, Customer may print the text of the order immediately after placing the order. The legal relationship established under these GTC is governed by Hungarian law.<\/p>\n<p><strong>Photographic Rights<\/strong><\/p>\n<p>Service Provider is the exclusive owner of the copyrights to all photographs appearing in the online catalogue. Any use of these photographs without prior approval is prohibited and will result in Service Provider asserting its claims.<\/p>\n<p>Possible limitations on the operation of the Online Store.<\/p>\n<p>Customer acknowledges that, due to the nature of the internet, the continuous, uninterrupted operation of the Online Store may be interrupted despite Service Provider\u2019s prior knowledge and intentions. Accordingly, Service Provider does not guarantee the error-free and uninterrupted operation of the Online Store, nor that access to the Online Store is continuous or error-free.<\/p>\n<p>Service Provider is entitled to suspend the operation of the Online Store, in whole or in part, without prior notice or notification, for the purpose of maintaining the Online Store or for other security reasons.<\/p>\n<p>Service Provider shall be liable only for damages caused by intentional or grossly negligent errors attributable to it. The extent of liability shall not exceed the value of the purchase transaction.<\/p>\n<p>Customer acknowledges that Service Provider is not liable for any damages or misuse arising during or as a result of payment by credit card.<\/p>\n<p><strong>Legal Disputes<\/strong><\/p>\n<p>In the event of a customer complaint, Customer may contact the competent Conciliation Board, whose contact information is as follows:<\/p>\n<p>The jurisdiction of the Conciliation Board is determined by Customer\u2019s place of residence or current location, and the current contact information for the relevant boards is available on the www.bekeltetes.hu website.<\/p>\n<p>Service Provider cooperates with the conciliation boards to resolve customer disputes.<\/p>\n<p>Contracting Parties declare that, in exercising the rights and fulfilling the obligations arising from these Terms and Conditions, they shall act in good faith and with fairness, cooperating with one another.<\/p>\n<p>Contracting Parties shall cooperate with each other to resolve any disputes out of court, through negotiation, in the shortest possible time and at the lowest possible cost.
